Every Ability Plays Project (EAPP) Board of Directors Terms and Conditions:


Welcome to the EAPP Board! As a member of the board of directions your input and contributions will help determine the direction of this organization and help make EAPP’s mission and vision a reality.
In accepting your position as a board member, you agree to the following terms and conditions:
1. All EAPP board members shall be at least eighteen (18) years old.
2. All board members shall attend regularly scheduled board member meetings.
(A) The Secretary or other designated board member shall notify the board members of the date and time of regularly scheduled board meetings at least two (2) weeks prior to meetings in accordance with Article 4 Section 4 of the Organization Bylaws.
(B) The Secretary or other designated board member shall notify board members of the date and time of any emergency or unplanned board meetings at least two (2) weeks prior to the meeting in accordance with Section 4 Article 12 of the organization Bylaws.
(I) If a meeting of the board of directors is necessary sooner than two (2) weeks, all board members shall receive at least 48 hours notice of the meeting.
(C) If a board member is unable to attend a regularly scheduled meeting, they must contact the Executive Director at least three (3) days prior to the regularly scheduled meeting or 24 hours prior to an unscheduled meeting to have their absence excused.
(D) A board member who has more than two (2) unexcused absences in one (1) year from official EAPP board meetings is subject to potential removal as a board member in accordance with Article 4 Section 11 of the organization Bylaws.
3. Board members shall pay a monthly fee of $25 or an annual fee of $300.
4. Board members shall contribute a maximum of three (3) hours per month to EAPP board member responsibilities or projects, which shall include board meetings.
(A) Any additional hours board members spend on EAPP board member projects and responsibilities shall be solely at their own discretion and are not obligatory.
(B) If an EAPP Board member chooses to take on additional positions or responsibilities within the organization, those hours and obligations shall be determined and agree upon separately from the individual’s board member responsibilities.
5. Board members shall make reasonable efforts to complete projects and responsibilities designated to them in a timely manner.
(A) EAPP will ask board members if they are willing to accept a task before it is designated to them.
(B) EAPP board members are free to decline projects and responsibilities for which they do not feel they well suited to complete for any reason.
(C) If EAPP designates a specific board member to complete a task, EAPP and the designated board member will agree upon a time frame or deadline to complete the task at the meeting or in the correspondence in which the task is designated.
(D) If a board member has any concerns about completing their designated task after it is assigned, they shall notify the Executive Director as soon as their concerns arise.
(E) The Executive Director of EAPP shall respond to any concerns within three (3) business days, and shall work with the board member to address their concerns.
6. Board members shall make reasonable efforts to attend all EAPP events and fundraisers.
7. If a board member decides to resign from their position, they shall notify the Secretary or other designated board member of their decision, in writing, as soon as their decision has been made in accordance with Article 4 Section 10 of the organization Bylaws.

(A) Any fees or in-kind donations the individual has made while serving on the board shall remain the property of EAPP and are not refundable.
8. A board member is subject to potential removal as a board member if they fail to meet board member responsibilities on a repeated basis.
(A) Board members subject to potential discipline or removal as a board member shall receive written notification of the potential disciplinary action being taken and the reason(s) such actions are being taken.
(B) A board member who receives such written notification of disciplinary action may meet with the EAPP board via an emergency board meeting to discuss potential resolutions to the situation within two (2) weeks of receiving such notification.
(C) Any resolutions agreed upon at such meetings shall be provided to all board members, including the board member for whom the resolution is being initiated, in writing.
(D) A board member who does not respond to notifications of disciplinary action, or who continues fail to meet their responsibilities despite reasonable efforts by the organization at resolution and reconciliation may be removed from the board by a three-quarters (3/4) vote of the remaining board of directors in accordance with Article 4 Section 11 of the organization Bylaws.
